Welcome to the Ambuj Mandloi Music Institute, an institution dedicated to developing the next generation of artists, DJs, musicians, and composers to meet the growing need for music. Ambuj Mandloi, (Copyright 2022 Ambuj Mandloi), is the owner, operator, and distributor of our website and services, including (without limitation) all websites, mobile applications, and other interactive properties through which the service is offered (collectively, the “Service”). You accept the following terms and conditions (“these Terms of Service”), the terms and conditions of our privacy statement (“Privacy Policy”), and any other legal notices that we may publish on the Service by accessing any section of the Service (collectively, the “Governing Documents”).

 

You should not use the service if you disagree with any of these conditions. All users, including those who are merely browsing content made accessible through the site and those who have registered as Ambuj Mandloi’s institute students, are subject to these Terms of Service. Your access to and use of the service, if you are a business-to-business customer of Ambuj Mandloi’s institute for teams, is also governed by the Agreement.

 

We reserve the right to change these terms of service at any time. You accept these updates if you use the service at any time following their implementation. On July 10, 2022, these Terms of Service were last updated.

Service Description

With the help of our service, both students and teachers can identify students who are interested in taking their classes in music.

We reserve the right to refuse service to anybody for any reason and/or end the service entirely or partially at any time, with or without prior warning.

 

User Submissions, Licenses, and Copyright

International copyright, trademark, and other property rights laws safeguard the service’s complete content. Ambuj Mandloi, its affiliates, and/or other third party licensors are the rightful owners of the trademarks and copyrights. The content on the service, including text, graphics, code, and/or software, may not be altered in any way. It may not be copied, reproduced, published, uploaded, posted, transmitted, or distributed. You are permitted to print and download portions of the content from the various service areas for your personal, non-commercial use only, so long as you agree not to remove or alter any copyright or proprietary notices from the content and not to distribute any content that you have paid for to anyone who has not also paid for a licence for it.

You are not permitted to obtain, gather, or copy any material or data on or associated with the service using any robots, spiders, or similar data mining, data gathering, or extraction techniques unless expressly permitted by Ambuj Mandloi Institute in writing. You are prohibited from using the terms “screen scraping,” “database scraping,” or any other similar terms to get user lists, chunks of databases, or other lists or information from the service in any way or quantity unless specifically approved in writing by Ambuj Mandloi.

Without express written agreement, you are not permitted to use framing techniques or to use images, text, page layouts, or forms to enclose any trademark, logo, or other proprietary material of Ambuj Mandloi or its affiliates. Without Ambuj Mandloi’s prior written agreement, you are prohibited from using meta tags or any other types of “hidden content” involving the name or trademarks of Ambuj Mandloi.

In these Terms of Service, “User Submissions” refers to content that users submit for inclusion on the Service (including, without limitation, any information posted on message boards, forums, or other open sections of the Service). Any User Submission shall be governed by these Terms of Service whether or not it is published. Regardless of whether a User Submission is published or not, Ambuj Mandloi makes no promises regarding its confidentiality. Your personal User Submissions and any repercussions of posting or publishing them are totally your responsibility. 

You affirm and warrant that your User Submissions (and all included content) are your property or that you otherwise hold all necessary licences, rights, consents, and permissions, including all necessary rights to grant Ambuj Mandloi permission to use your User Submissions in the ways that the Service and these Terms of Service permit.

You hereby grant Ambuj Mandloi a non-exclusive, worldwide, perpetual licence, with the right to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display, and publicly perform any User Submissions or any other materials or information (including, without limitation, ideas for new or improved products or services) you communicate to Ambuj Mandloi by all methods and in any media now known or hereafter developed.

Additionally, you authorise Ambuj Mandloi to use your name in connection with the information and materials you submit, as well as in connection with all associated advertising, marketing, and promotional materials. You acknowledge that any alleged or actual infringement or misappropriation of any proprietary right in your communications to Ambuj Mandloi will not give rise to any remedy against Ambuj Mandloi.

We don’t support or hold any responsibility for any of the User Submissions’ material. Typically, we don’t pre-screen, keep an eye on, or modify user submissions. However, any User Submission or other content that, in our opinion, violates these Terms of Service and any other guidelines for acceptable user behaviour for the Service, or is otherwise harmful, objectionable, or incorrect, may be removed at any time by us or our representatives at our sole discretion. Any failure or delay in removing such User Submissions or other content is not our responsibility. By agreeing to this removal, whether it be of your own or that of another user, you release us from any liability that might result from it.

For a summary of the steps to take in the event that any party suspects that a User Submission violates any patent, trademark, trade secret, copyright, right of publicity, or other proprietary property of any party, see “Copyrights, Licenses, and User Submissions” above.

Infringement

We’ve established the following policy on copyright infringement in compliance with the 

Digital Millennium Copyright Act (“DMCA”).

We reserve the right to (1) limit access to or remove content that we in good faith think has 

been illegally copied and disseminated by any of our members, users, advertisers, or affiliate, and (2) remove and terminate service for repeat offenders.

  1. Method for reporting copyright violations. Please send a notice of copyright infringement with the following information to Ambuj Mandloi’s Designated Agent to Receive Notification of Claimed Infringement (our “Designated Agent,” whose contact information is listed below), if you believe that material or content present on or accessible through the Service violates your copyright (or the copyright of someone on whose behalf you are authorised to act).
    1. A written or electronic signature of an authorised representative of the allegedly infringing copyright owner;
    2. Identification of the allegedly infringing work or materials
    3. Identification of the allegedly illegal content, including details about its whereabouts and the copyright owner’s request for its removal, with enough specificity to allow Ambuj Mandloi to locate and confirm its presence;
    4. Contact information for the notifier, including an email address if one is provided, a phone number, and an address;
    5. A declaration that the material listed in (1)(c) is not permitted by the copyright owner, its agent, or the law;
    6. And a declaration made under oath that the details given are true and that the party submitting the notification has the right to file the complaint on the owner’s behalf.
  1. Once the Designated Agent receives proper bona fide notice of an infringement. We reserve the right, upon receiving a valid copyright infringement notification, to take the following actions:
    1. Remove or disable access to the allegedly infringing material;
    2. Notify the content provider who is accused of infringement that we have done so; and,
    3. If the content provider violates copyright repeatedly, terminate their access to the Service.
  2. Steps to Follow When Giving the Designated Agent a Counter-Notice. If the content provider feels that the content that was deleted (or to which access was restricted) is not infringing, or if the content provider feels that it has the legal authority to post and use such content from the copyright owner, the copyright owner’s agent, or as required by law, the content provider may send us a counter-notice containing the following details to the Designated Agent:
    1. An electronic or written signature from the content supplier;
    2. Identification of the content that has been deleted or to which access has been disabled, as well as the URL of the content’s previous appearance;
    3. A declaration that the content provider believes in good faith that the material was taken down or disabled due to an error or misidentification of the content; and
    4. Name, address, phone number, and, if available, email address of the content provider, as well as a declaration that the provider consents to the jurisdiction of the Federal Court for the judicial district in which the provider’s address is situated, or, if the provider’s address is situated outside of the United States, for any judicial district in which Ambuj Mandloi is situated, and that the provider agrees to accept service of process from the party who requests it.

If the Designated Agent receives a counter-notice, Ambuj Mandloi may, at its discretion, send a copy of the counter-notice to the person who first filed the complaint, advising them that Ambuj Mandloi has 10 business days to replace the removed item or stop disabling it. The withdrawn content may be replaced or access to it restored in 10 to 14 business days or more following receipt of the counter-notice, at Ambuj Mandloi’s discretion, unless the copyright owner pursues an action seeking a court order against the content provider accused of infringing.

Account Terms

The terms listed below govern how you use the service and any accounts you open or seek to open through the service.

To create an account, you must be a person. It is not allowed to create accounts using “bots” or other automated processes.

It is your responsibility to keep your password and account secure. Any acts made by your account are seen by us as being made by you. You agree that Ambuj Mandloi will not be responsible for any losses or damages resulting from your breach of this security commitment.

Fees and Other Charges

We reserve the right to modify any fees or charges associated with using any services offered through the Service (or to start charging fees for any previously free service), provided that such modifications do not apply to fees or charges that were already paid or to any previously used free services.

Users Rules

The following guidelines are accepted when you register with the website:

  1. You promise to only use the service for legal purposes and not in any way that would violate the rights or use of another user.
  2. You are solely responsible for the content of any messages you send through the Service, and your use of the Service is subject to all applicable laws and regulations.
  3. You won’t post any proprietary, protected by a trademark, or otherwise protected by a copyright on the Service without the owner’s express consent. You won’t publish any anything that violates someone else’s intellectual property rights, including their patents, trademarks, trade secrets, copyrights, publicity rights, or other proprietary rights.
  4. You take full responsibility for the supplied Service’s content.
  5. You are aware that publicly available classes can be watched and accessed by any student.
  6. You promise not to engage in any activities that could be construed as illegal or unsolicited advertising, chain letters, junk or bulk email (sometimes referred to as “spamming”), lottery or gaming, or junk or bulk email.
  7. You won’t give anyone who lacks the necessary authorization to access the content any content from the Service.
  8. You will not engage in any activity that is illegal, threatening, abusive, harassing, defamatory, libellous, deceptive, fraudulent, invading another person’s privacy, tortious, or that contains explicit or graphic descriptions or accounts of sexual acts (including, but not limited to, sexual language of a violent or threatening nature directed at another individual or group of individuals), or that otherwise violates our rules or policies.
  9. You promise not to engage in any actions that victimise, harass, demean, or intimidate a person or a group of people because of their race, gender, sexual orientation, age, ethnicity, or disability.
  10. You won’t distribute computer viruses or any other code, files, or software that could interfere with, harm, or restrict the operation of software, hardware, or telecommunications equipment, or that could compromise or allow unauthorised access to data or other third-party information.
  11. You won’t pretend to be someone or something else, including one of our employees or representatives.
  12. You won’t try to obtain unauthorised access to another network or server using your account to compromise the security of another account. You or other permitted users of the Service might not have access to all of the Service’s features. You must not obstruct someone else from using and enjoying the Service. Users who violate network or system security could face criminal or civil penalties.

Rules for Teachers

The following guidelines are your responsibility if you publish a class on the website:

  1. You will honour any enrolments made through ambujmandloi.com at the price and time specified in the Service.
  2. You give us permission to display adverts on your content as we see fit.
  3. Unless you receive permission from the material’s legitimate owner, none of the content you upload to the Service will include any material that is protected by third-party copyrights or other property rights.
  4. You affirm and guarantee to Ambuj Mandloi that you have the necessary credentials to instruct the classes you list with the Service and that you will always conduct yourself professionally and in accordance with all relevant laws.
  5. You are aware that if you are a teacher, your students will be able to publish reviews of the classes you are teaching. We have no control over the material that users may include in reviews of our products, and we will not be held liable for any such information or comments.
  6. You have the option to delete content from your class, and you will continue to own it; however, we will still be able to utilise it and make it available to students who have paid for or registered for your class.
  7. You give us complete ownership rights to any video content we produce for you. We reserve the right to alter, delete, or add that video material.
  8. You acknowledge that the Ambuj Mandloi Community and Class Guidelines, which may occasionally be modified, prohibit the submission of content that does so.
  9. Ambuj Mandloi reserves the right to remove the listing of any class at any time and for any reason, but he or she is under no obligation to do so.

Rules for Students

The following guidelines are accepted when you sign up for a lesson on the website:

  1. When you agree to register for or access a class on Ambuj Mandloi, you accept all of the terms and conditions, including the cancellation policy agreed with you and listed in the Service.
  2. You will abide by any reasonable guidelines established by a teacher with regard to a class, and you won’t do anything to obstruct the teacher or any other pupils.
  3. You are only permitted to access course materials for informational purposes.
  4. You agree not to interfere with any class or the teacher’s continued interactions with any students enrolled in that class by copying any materials or tactics for your own or other people’s classes.
  5. Ambuj Mandloi retains the right to cancel or suspend your account at any time and for any reason, including if you break one of our policies.

Data Policy

We give the teacher each student’s login and profile when they enrol in an Ambuj Mandloi course so they can educate them on the platform. A student gives us permission to share the student’s information with the teacher by enrolling in a class on Ambuj Mandloi. The teacher must respect the student’s right to privacy. The teacher has a restricted licence to use this data exclusively for discussions with Ambuj Mandloi or for transactions supported by Ambuj Mandloi. The teacher is not permitted to use such personal data for any other activities, such as making illicit purchases or sending unwanted commercial messages. You may not add any Ambuj Mandloi abuse any student’s personal information without that person’s express permission. Remember that when using Ambuj Mandloi, you must abide by all applicable legal requirements. This includes relevant data protection and privacy laws that control how you can use the information of other Ambuj Mandloi users.

Lastly, we might compile demographic data about you, like your gender, race, and ethnicity. This data is typically collected and used anonymously. If you voluntarily provide Ambuj Mandloi with your demographic information, we will collect, store, and utilise that information in accordance with our privacy policy. We may use this type of data to administer, analyse, and improve the content and functionality of the Site and Services; for marketing; to identify trends and help us comprehend demographic patterns related to our community and new and existing products, programmes, or services; and to collect demographic data about our user base as a whole. We employ unstructured machine learning technology to comprehend user behaviour and to offer suggestions and other forms of experience personalization on the Site or through the Services.

Participating in a Class

The agreements, releases, and other papers (collectively, “Class Agreements”) that a teacher and student may enter into in connection with a class, including any Class Agreements entered into through the Service, are in addition to these Terms of Service and the Governing Documents. Ambuj Mandloi has no influence over whether either side complies with the requirements of the Class Agreements; rather, students and teachers are each responsible to the other for doing so. Ambuj Mandloi is unable to influence, among other things, (a) the terms of the Class Agreements, (b) their accuracy or legality, or (c) any party’s compliance with its responsibilities under the Class Agreements. Ambuj Mandloi is not a party to any transaction between you and any other user and as a result, shall not be held liable for any liability resulting from the Class Agreements or any actions you may take in reliance thereon. YOU HEREBY RELEASE AMBUJ MANDALI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND EACH OF THEIR RESPECTIVE SUCCESSORS AND ASSIGNS (COLLECTIVELY, THE “AMBUJ MANDALI PARTIES”) FROM ANY CLAIMS OR DAMAGES OF ANY KIND OR NATURE ARISING FROM ANY DISPUTE RELATING TO THE CLASS AGREEMENTS OR FROM ANY TRANSACTION OR ATTEMPTED TRANSACTION WITH ANOTHER USER OF THE SERVICE, TO THE FULLEST EXTENT PERMITTED BY LAW (WHETHER A STUDENT OR TEACHER). YOU AGREE, UNDERSTAND, AND INTEND THAT YOU AND YOUR HEIRS, EXECUTORS, AGENTS, ADMINISTRATORS, AND ASSIGNS ARE BOUND BY THIS ASSUMPTION OF RISK AND RELEASE.

You assume all risk associated with teaching or taking part in a class. Ambuj Mandloi does not oversee lessons and has no bearing on what any individuals (students or professors) conduct in any given session. We kindly ask our users to take caution and good judgement when taking part in Classes because we have no control over the identities or activities of the people who attend these classes. You understand and admit that taking part in any class, whether as a student or teacher, exposes you to a number of dangers and hazards that may or may not be anticipated, including (without limitation) physical injury, property damage, and death. All expenses and/or hazards related to your participation in any class are strictly your responsibility. YOU HEREBY RELEASE AMBUJ MANDLOI AND EACH OF THE OTHER AMBUJ MANDLOI PARTIES FROM ANY CLAIMS OR DAMAGES OF ANY KIND OR NATURE RELATING TO YOUR PARTICIPATION IN ANY EVENT, WHETHER AS A STUDENT OR TEACHER, TO THE FULLEST EXTENT PERMITTED BY LAW. YOU AGREE, UNDERSTAND, AND INTEND THAT YOU AND YOUR HEIRS, EXECUTORS, AGENTS, ADMINISTRATORS, AND ASSIGNS ARE BOUND BY THIS ASSUMPTION OF RISK AND RELEASE.

Subscription Fees

Until and unless you cancel your subscription or your account is otherwise suspended or terminated in accordance with these Terms, your subscription will continue and automatically renew on a recurrent basis in accordance with the period of your subscription.

A regular periodic subscription price for the duration of your subscription, along with any applicable taxes, will be charged to your Payment Method. All incurred fees and costs, including any applicable taxes, are your responsibility.

Ambuj Mandloi has the right to alter your subscription’s conditions, including the cost, at any time, with the new terms taking effect at the start of the following billing cycle. We will tell you in advance of these changes, but we won’t be able to do so for any adjustments to the appropriate taxes.

Ambuj Mandloi uses third parties to pay all teachers and collect all payments. Ambuj Mandloi is not accountable for the performance of any provider because it is a separate business.

Refunds for membership fees or any other fees incurred by the Service are not available.

Referral Program

You can take part in our “Referral Program” as an Teacher on Ambuj Mandloi by sending prospective students our way. Terms and conditions that apply to our referral programme can be read here.

Recurring Billing

The membership price will be invoiced at the start of the paying section of your membership and then on a monthly, annual, or other schedule until you cancel, if and when you choose. On the calendar day that corresponds to the start of your paying membership, we automatically bill your Payment Method once each month or for the specified duration. The fees may also be assessed by course, with the student required to pay according to the established terms (monthly, quarterly, half-yearly, yearly, or all at once, course-wise). In particular, as stated below, if your Payment Method has not properly cleared, we have the right to alter the date of our invoice. If the start date of your paying membership falls outside of a particular month, we may bill your Payment Method on that day or another that we deem acceptable. For instance, if you started your membership or became a paying member on March 31st, your Payment Method would be billed on April 30th, which is likely your next payment date.

Refund Policy for Memberships

Payments are non-refundable, and there are no refunds or credits for partially utilised periods, unless otherwise required by applicable legislation, unless your subscription plan has a 30-day money-back guarantee policy. Your subscription may be cancelled in accordance with these Terms of Service.

If you bought an annual subscription plan that came with a 30-day money-back guarantee, you can cancel it and get a full refund by contacting us and asking for one. You will no longer have access to your Ambuj Mandloi membership after your refund has been approved. Ambuj Mandloi is not obligated to take into account or approve refund requests for the following reasons: I subscription plans bought with a 7-day or longer free trial; (ii) issues that do not arise within the first thirty (30) days of your membership; or (iii) instances in which there has been a violation of our Terms of Service, our Community Guidelines, or fraud. You are only eligible for one refund. Any additional subscriptions won’t be eligible for the 30-day money-back guarantee after you receive your refund.

Cancellations

Your Ambuj Mandloi membership may be cancelled at any time, for any or no reason. Please visit our website at https://www.Ambuj Mandloi.com to cancel your recurring membership. At the end of your paying month, if you have discontinued your Ambuj Mandloi membership, you will no longer have access to any membership Classes you signed up for while a member. Your billing date will be the day you paid if you decide to re-register as a paying member.

Free Trials

Periodically, we or third parties acting on our behalf may provide Ambuj Mandloi membership trial periods for paid memberships without cost or at a discounted rate (a “Trial”). To the fullest extent authorised by law, Ambuj Mandloi reserves the right, in its sole discretion, to determine your eligibility for a Trial and, subject to applicable regulations, to withdraw or alter a Trial at any time without advance notice or liability.

For some trials, we will need your payment information before you can begin the trial. Following the expiration of such trials, we may begin automatically billing you on a recurring monthly or yearly basis for the relevant paid membership on the first day after the trial has ended. We’ll make an effort to confirm the data you submitted when you give a Payment Method by executing an authorisation hold. Although we don’t charge you for this authorization hold, it can lower your available balance or credit limit. You consent to this charge using the payment information you provide when registering for the trial. You can cancel the relevant paid subscription through your payment preferences in your Ambuj Mandloi account profile at https://ambujmandloi.com/dashboard if you do not want to be charged for this.

Price Changes

We reserve the right to change the price of our service or any of its components whenever we see fit, in any way, and in any way we like. Any price changes to your service will take effect after email notice to you, unless otherwise clearly stated in these Terms of Use.

Student Referral Program

By introducing potential students to the Service, you can take part in our “Student Referral Program.” For each Qualified Student Referral made under the Student Referral Program, you will be given an award (a “Student Referral Award”) with additional defined advantages (as hereinafter defined).

Each of the requirements listed below must be satisfied in order for a referral to be eligible for a student referral award (a referral that satisfies all of these requirements is referred to as a “Qualified Student Referral” moving forward): I you need to sign in to your Ambuj Mandloi account on the Service and click the “Invite Friends” link; (ii) you need to share the provided link with friends via Facebook, Twitter, or other social media platforms, by copying and pasting the Unique Referral Link generated via the Service, by sending the Unique Referral Link in an email via the Services to your friends, or by using the other tools provided by Ambuj Mandloi; and (iii) the referral must successfully register for an Ambuj Mandloi account and pay for the first month of membership that is not refundable.

If we observe any action that we deem to be an abuse of the referral programme, we retain the right to suspend your account and remove referrals.

Ambuj Mandloi Rights

Ambuj Mandloi keeps these rights in reserve:

  1. We may modify the Ambuj Mandloi website and services without warning or accountability.
  2. At any time and for any reason, we reserve the right to cancel your membership, account, payments, or other connections to the Service. Our eligibility requirements are subject to change at any time. We revoke your right to use Ambuj Mandloi in that region if these actions are illegal where you reside.
  3. We shall fully assist in any investigations into alleged system or network security lapses at other locations, including working with law enforcement to look into potential criminal offences.
  4. Should we determine that a teacher’s account is connected to conduct that we perceive to be against our rules or guidelines, we reserve the right to terminate their participation in the Partner Program at any time, without prior warning, and at our sole discretion.
  5. We reserve the right, at any time and for any reason, to reject, interrupt, cancel, remove, or suspend any class, remark, or other posted comment.

Ambuj Mandloi is not responsible for any losses brought on by any of these activities, and it is against company policy for us to offer commentary on the causes of any such action.

Disclaimer of Warranties

Without any express or implied warranties of any kind, including but not limited to the implied warranties of merchantability or fitness for a particular purpose, or the warranty of non-infringement, the service and all materials contained therein are provided “as is” and “as available.” Without limiting the foregoing, WE DO NOT WARRANT THAT THE SERVICE OR MATERIALS (A) WILL MEET YOUR REQUIREMENTS, (B) WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) WILL BE EFFECTIVE, ACCURATE, OR RELIABLE, OR (D) THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR MATERIALS WILL BE ACC (D)     OR (D) ANY CLASS YOU ATTEND VIA THE SERVICE WILL MEET YOUR EXPECTATIONS OR BE FREE FROM MISTAKES, ERRORS, OR DEFECTS, OR ANY OTHER PRODUCTS, SERVICES, OR INFORMATION YOU PURCHASE OR OBTAIN FROM US OR OUR AFFILIATES THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS OR BE FREE FROM SUCH DEFECTS.

THE SERVICE COULD CONTAIN TYPOGRAPHICAL, TECHNICAL, OR OTHER MISTAKES, INACCURACIES, OR ERRORS. WE MAY, AT ANY TIME WITHOUT NOTICE, MAKE CHANGES TO THE SERVICE AND ANY CONTENT OR FEATURES INCLUDED THEREIN, INCLUDING THE PRICES AND ACCESS RULES FOR ANY FUNCTIONALITY. We don’t guarantee that the content on the service will be updated, therefore it’s possible that it’s out-of-date.

 

YOU AGREE THAT YOUR USE OF THE SERVICE AND ANY DOWNLOADING OR OTHER ACQUISITION OF MATERIALS THROUGH THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK, AND THAT YOU ASSUME ALL RISK OF DAMAGE TO, OR LOSS OF, DATA ARISING FROM, SUCH ACTIVITIES.

 

You could have the chance to conduct business dealings with other users and vendors, including (without limitation) students and teachers, through your use of the Service. You agree that all agreements for any class of goods or services, as well as the purchase terms, payment terms, warranties, guarantees, maintenance, and delivery terms associated with such agreements, are made solely between the seller or purchaser of such goods or services and you. The teachers themselves provide the classes on Ambuj Mandloi. Any information on Ambuj Mandloi’s Service listings or profiles is not its responsibility or liability. Ambuj Mandloi is not liable for any modifications the teacher makes to a class.

You acknowledge and accept that there may occasionally be brief service outages. Furthermore, you acknowledge and accept that we have no control over any third-party networks you might access while using the Service, and that delays and disruptions to other network transmissions are entirely out of our hands.

You recognise and acknowledge that we disclaim all liability and responsibility for the timeliness, deletion, mis-delivery, or failure to save any user communications or personalization preferences and that the Service is provided “AS IS.”

A FEW OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES.

Limitation of Liability

NEITHER WE NOR ANY OTHER AMBUJ MANDLOI PARTY SHALL BE RESPONSIBLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER OR NOT WE HAVE.

ASSISTANCE IN CONDUCTING COMMERCIAL TRANSACTIONS WITH OTHER USERS OF THE SITE, INCLUDING WITHOUT LIMITATION ANY TRANSACTION BETWEEN A STUDENT AND TEACHER, IS NOT PROVIDED BY US OR ANY OTHER AMBUJ MANDLOI PARTY, AND NEITHER WE NOR ANY OTHER AMBUJ MANDLOI PARTY SHALL BE LIABLE IN ANY WAY FOR ANY CLASS OR OTHER THIRD.

 

THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES.

Indemnification

You agree to defend, hold harmless, and indemnify us and the other Ambuj Mandloi Parties from all liabilities, claims, and costs, including legal fees, that result from your violation of these Terms of Service or any other Governing Documents, as well as from any other careless or wrongful behaviour, at our request. Any matter that would normally be subject to your indemnification by us is reserved to us, and in that case, you will assist us in enforcing any potential defences.

Miscellaneous

You acknowledge that the Service shall be deemed a passive interactive service with sole jurisdiction in India and shall not give rise to any general or particular personal jurisdiction over Ambuj Mandloi in any jurisdiction outside of India. Without respect to principles of conflicts of law, these Terms of Service, the Privacy Policy, and the other Governing Documents shall all be governed by and construed in accordance with the internal laws of the State of India. You consent that any legal action or proceeding involving Ambuj Mandloi and you regarding these Terms of Service, the Privacy Policy, the other Governing Documents, or your use of the Service will only be brought in a federal or state court with appropriate jurisdiction with a location in India, India.

Any claim or cause of action you may have over any of the aforementioned matters must be brought within one (1) year of the claim or cause of action arising, otherwise it will be forever barred.

You and Ambuj Mandloi concur that any controversy or claim arising out of or connected to the Terms shall be finally resolved by arbitration conducted in English by the American Arbitration Association (the “AAA”) in accordance with its then-current Commercial Arbitration Rules (those rules are deemed to be incorporated by reference into this section). In accordance with such regulations, our arbitration shall be conducted by a single arbiter. Any court with jurisdiction may enter judgement based on the arbitral verdict. Class arbitrations and class actions are not allowed, and any arbitration under the Terms must be conducted on an individual basis. You are aware that by accepting the Terms, both you and Ambuj Mandloi are giving up your right to a jury trial and your right to take part in a class action lawsuit. Despite the aforementioned, each party shall have the right to file a lawsuit in a court with appropriate jurisdiction for injunctive, other equitable, or conservatory remedies, pending an arbitrator’s final ruling.

The Privacy Policy, these Terms of Service, and the other Governing Documents together make up the entirety of the contract between you and Ambuj Mandloi relating to the Service and the services offered by Ambuj Mandloi. Any such document’s remaining provisions, which shall continue to be in full force and effect, shall not be affected by the invalidity of any provision that a court of competent jurisdiction finds to be contained therein. No right or term in these Terms of Service or any other Governing Documents shall be deemed waived by Ambuj Mandloi’s failure to insist on or enforce strict performance of such provision. A term of these Terms of Service may not be modified by the behaviour of the parties or by custom or usage. Without giving you any notice, Ambuj Mandloi may at any time assign its obligations and rights under these Terms of Service or any other Governing Documents to any party.

Ambuj Mandloi and you will communicate with one another primarily via email. You acknowledge that any legal requirements that such communications be in writing will be satisfied by all electronic correspondence between you and Ambuj Mandloi.

 

Ambuj Mandloi reserves any rights that aren’t expressly given in this document.
